Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Nova Rafale, a product of PGG AI – part of PGG Grup ("Nova Rafale", "we", "our", or "us"), and you, the individual or entity accessing or using https://nova‑rafale.com or any related application programming interfaces, software, or services (collectively, the "Services"). By creating an account, clicking “I agree,” or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. Eligibility & Authority

You affirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. All references to “you” include the entity and its affiliates.

2. Changes to Terms or Services

We may revise these Terms or modify the Services at any time. Material changes will be posted on the Site or communicated via email at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you disagree with any amendment, you must stop using the Services before the change becomes effective.

3. Account Registration & Security

  • Accurate Information – You must provide complete and accurate information and keep it current.

  • Credentials – You are responsible for safeguarding your password and any API keys. Do not share them with unauthorised persons.

  • Unauthorised Use – You must notify us immediately at support@nova‑rafale.com of any unauthorised access or security incident. We are not liable for losses resulting from compromised credentials.

4. Subscription Plans, Trials & Payments

  1. Plans – Details of free and paid subscription tiers (“Plans”) are described on our Pricing page. Each Plan sets usage limits (e.g., number of AI words, image generations, or API calls).

  2. Trials – We may provide free or discounted trials. Trial usage converts to a paid Plan at the end of the trial period unless you cancel.

  3. Billing – Fees are billed in advance on a monthly or annual basis, processed by our third‑party payment provider. You authorise us to charge your selected payment method for recurring fees and applicable taxes.

  4. Upgrades & Downgrades – Upgrading will trigger a pro‑rated charge; downgrading takes effect at the next billing cycle.

  5. No Refunds – Except as required by law, all payments are non‑refundable.

  6. Taxes – Fees exclude taxes, levies, or duties imposed by governmental authorities. You are responsible for all such taxes.

5. Licence & Intellectual Property

  • Licence to You – We grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Services in accordance with these Terms.

  • Ownership – All content, software, algorithms, models, and trademarks are owned by Nova Rafale or its licensors. Except for the licence expressly granted, no rights are transferred to you.

  • User Content – You retain ownership of content you upload or generate (“User Content”). You grant Nova Rafale a worldwide, royalty‑free licence to host, process, and display your Content solely to operate, secure, and improve the Services.

6. Acceptable Use Policy

You agree not to:

  1. Violate any applicable law or regulation;

  2. Infringe intellectual‑property or privacy rights;

  3. Upload viruses, malicious code, or attempt to gain unauthorised access to the Services or its users’ accounts;

  4. Reverse engineer, decompile, or attempt to derive source code from the Services except to the extent such activity is expressly permitted by applicable law;

  5. Use automated systems to scrape, crawl, or harvest data without prior written consent;

  6. Generate content that is illegal, hateful, harassing, or facilitates wrongdoing.

We reserve the right to investigate violations and suspend or terminate accounts that breach this policy.

7. AI Output & Disclaimers

The Services leverage advanced machine‑learning models. AI‑generated output may be erroneous, biased, or offensive. You are solely responsible for reviewing the content and determining its suitability for your intended purpose. Nova Rafale makes no warranty as to the accuracy or legality of any output.

8. Third‑Party Integrations

The Services may interoperate with third‑party products (e.g., cloud storage, knowledge bases, or payment gateways). Your use of third‑party services is governed solely by their terms, and Nova Rafale is not responsible for third‑party acts or omissions.

9. Confidentiality

Each party agrees to keep confidential any non‑public information disclosed in connection with the Services that is designated as confidential or should reasonably be understood as confidential. The receiving party shall: (a) protect such information with the same degree of care it uses for its own similar information and (b) not disclose it to third parties except as authorised.

10. Privacy

Your use of the Services is also governed by our Privacy Policy (25 July 2025), which explains how we collect, use, and share your data.

11. Termination

We may terminate or suspend your access immediately, without notice, if you breach these Terms or if required by law. You may cancel your account at any time through your dashboard or by emailing support@nova‑rafale.com. Upon termination, your right to use the Services ceases immediately, but Sections 5, 7, 11–18, and 21 survive.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA RAFALE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

13. Limitation of Liability

IN NO EVENT SHALL NOVA RAFALE, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD‑WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (C) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR CONTENT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF €100 OR THE AMOUNT PAID BY YOU TO NOVA RAFALE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nova Rafale and its affiliates from any claims, damages, or expenses arising out of your use of the Services or violation of these Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Romania, without regard to conflict‑of‑law rules. Any dispute arising out of or related to the Services shall be resolved exclusively in the competent courts of Bucharest, Romania. You consent to the personal jurisdiction of such courts.

16. Dispute Resolution & Arbitration (Optional)

Before filing a lawsuit, parties agree to attempt in good faith to resolve any dispute informally within 30 days after written notice. If unresolved, either party may, at its sole option, elect to have the dispute finally resolved by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce. Judgment on the award may be entered in any court of competent jurisdiction. Nothing prevents a party from seeking injunctive relief.

17. Force Majeure

Nova Rafale shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, labor disputes, or Internet outages.

18. Assignment

You may not assign or transfer these Terms or any rights herein without Nova Rafale’s prior written consent. We may assign our rights and obligations without restriction in connection with a merger, acquisition, or sale of assets.

19. Severability

If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect.

20. No Waiver

Failure to enforce any right or provision shall not be deemed a waiver of such right.

21. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or agreements incorporated by reference, constitute the entire agreement between you and Nova Rafale regarding the Services and supersede all prior agreements.
